General Terms and Conditions (GTC) of the voice database “voiceeverest” of zentiMEDIA GmbH – hereinafter “zentiMEDIA”
- General
The following GTC apply exclusively.
Other GTC shall not become part of the contract, even if we do not expressly object and/or deliver or perform.
Our offers are exclusively addressed to entrepreneurs (male, female, diverse) within the meaning of §14 BGB.
A person who provides their voice for professional or artistic purposes shall hereinafter be referred to in a gender-neutral manner as “Speaker” (male, female, diverse).
Entrepreneurs seeking a speaker shall hereinafter be referred to as “Clients.”
- Conclusion of Contract
Our offered services are not legally binding offers and are therefore non-binding and subject to change.
Your specific request for one of our services constitutes a legally binding offer.
Accordingly, a contract is concluded only through our confirmation of your request in text form (e.g., e-mail). You may submit your request after entering your speaker data into the registration form and we have activated your account.
The scope of services results from the description available at the time of contract conclusion. Additional and/or subsequent changes to the contract content must be in writing.
There is no entitlement to conclude a contract. We reserve the right to reject any speaker’s offer to conclude a contract without giving reasons.
A prerequisite for contract conclusion is that the speaker is at least 18 years old, or in the case of a minor, acts with the consent of their legal representatives and in compliance with legal requirements.
No direct contract is mediated between clients and speakers via the voice database. Services are booked through zentiMEDIA.
- Our Services
We offer speakers the opportunity to create their own speaker profile. The profile serves to advertise their services.
Clients can independently search the voice database to find voices, which they may then book with additional services via zentiMEDIA.
- Rights
Please note that texts, photos, and graphic designs used in the voice database are protected by copyright, and zentiMEDIA generally does not hold rights to them. If you wish to use parts of them, please contact zentiMEDIA. zentiMEDIA can establish contact with the copyright holder or licensee. Unauthorized use may result in claims for removal, injunction, and damages.
By uploading content to the voice database, the speaker grants zentiMEDIA the right to publish the provided files online and make them publicly accessible (including to clients).
Beyond this right of accessibility, zentiMEDIA acquires no rights to content uploaded by the speaker. zentiMEDIA does not review content for editorial correctness, completeness, or accuracy. Rights and liability remain with the speaker.
There is no entitlement to use the voice database. zentiMEDIA reserves the right to remove individual speakers or restrict access to the database.
5) Duties of the Speakers
Registration is required to use the services.
Each speaker may use only one e-mail address, which must not be a disposable address.
By submitting the registration form, the speaker acknowledges these GTC and confirms they have read the Privacy Policy. Upon acceptance, the speaker receives a confirmation e-mail with a personalized link to verify their e-mail.
A speaker account is created after successful registration, accessible via the e-mail and password provided. Passwords must be kept secret and protected from unauthorized access. If a speaker suspects unauthorized use, they must notify zentiMEDIA and change the password immediately.
zentiMEDIA may require additional verification, data submission, usage duration, or payment history to access certain features. Until suitable evidence is provided, use of the database may be restricted.
Speakers must provide truthful and complete information in their profile and registration data. Changes must be updated immediately.
Speakers must not submit data/files for which they do not have full rights. Speakers indemnify zentiMEDIA against any third-party claims arising from rights violations.
Speakers are solely responsible for profile content, images, audio, and other contributions. zentiMEDIA does not guarantee content and does not adopt it as its own.
6) Data Protection
zentiMEDIA ensures that personal data of speakers is collected, stored, and processed only as required for contractual performance and in compliance with the law. Data is treated confidentially and not disclosed to third parties unless necessary for contract fulfillment or legally required.
Consent for data processing can be revoked at any time for future effect. Further information is available in the Privacy Policy.
7) Limitation of Liability
Liability for damages resulting from injury to life, body, or health is unlimited.
Liability for minor negligence exists only if a cardinal contractual duty is violated and is limited to the typical foreseeable damage for comparable contracts, but not exceeding the contract value.
For free services, liability beyond the above is excluded.
Liability for data loss or corruption is limited to the effort required for proper data recovery.
Liability exclusions apply equally to vicarious agents. Product liability law remains unaffected.
zentiMEDIA is not liable for the legal admissibility of profile content regarding competition, copyright, or trademark law; such content is the speaker’s responsibility.
8) Amendments to Terms and Conditions
zentiMEDIA reserves the right to change services or implement legal requirements at any time, including for existing contracts. Registered speakers will be notified at least 6 weeks before the effective date. If the speaker does not object within 6 weeks and continues using the service, the changes are deemed agreed. Speakers may terminate the contract if they object.
9) Final Provisions
German law applies, excluding the UN Sales Convention.
For merchants, legal entities under public law, or public special funds, our registered office is the exclusive jurisdiction for disputes.
Online Dispute Resolution: The EU provides an online platform for dispute resolution at http://ec.europa.eu/consumers/odr/. Participation is not mandatory.
